  14. Did Fangraphs and HBT utilize the “assets over” or “assets-up” form of merger (26 CFR 1.708-1(b)(3)) or was it a straight asset purchase? Did HBT’s profits interest pay out, get canceled or get assumed? C’mon, give us Inside Baseball.

    For the movie, portray this as a hostile takeover; conflict is more entertaining than baby bunnies and kittens.
